A Singapore-incorporated company that remains live on ACRA's register generally must file an Annual Return every year, including when inactive or dormant. For companies with FYE on or after 31 August 2018, the usual Annual Return deadline is within 7 months after FYE for non-listed companies and 5 months after FYE for listed companies. A company with share capital and an overseas branch register has an extended deadline of 8 months if non-listed or 6 months if listed. Annual Return filing, AGM compliance, audit exemption and financial-statement filing are separate tests. A qualifying private company may be exempt from statutory audit under the small-company rules, while specific dormant relevant companies and solvent exempt private companies can qualify for financial-statement filing exemptions. AGM exemption

Dormant private company exemption
A qualifying dormant private company that is not listed or a subsidiary of a listed company may be exempt where total assets do not exceed S$500,000, subject to the applicable consolidated test.
Dispense with AGM
A private company may choose to dispense with AGMs when all members pass the required resolution.

Small-Company Audit Exemption

Audit exemption under the small-company concept is available to qualifying private companies that meet at least 2 of the following 3 criteria for each of the 2 financial years immediately preceding the current financial year.

Financial Statements: When Must They Be Filed?

general Rule: Singapore-incorporated companies generally must prepare financial statements, except where a statutory preparation exemption applies, and must file them with ACRA unless a filing exemption applies.
Dormant relevant company

  • The company is dormant under the statutory rules.
  • The substantial-assets test is satisfied.
  • Total assets do not exceed S$500,000 at any time during the financial year, or the applicable consolidated test is satisfied for an ultimate parent.
  • The company is not a listed company or a subsidiary of a listed company.
Solvent Exempt Private Company

  • The company qualifies as an Exempt Private Company.
  • The company is solvent and can meet its debts as they fall due.
  • The required online solvency declaration is made with the Annual Return.

smaller Company Category

For ACRA's financial-statement filing categories, a smaller company is one where both current-year revenue and total assets do not exceed S$500,000, subject to the applicable consolidated treatment.

Extension of Time for Annual Return

A company can apply for a 60-day extension of time before its Annual Return deadline.

A live company generally must file an Annual Return every year.

Use the 5-month Annual Return deadline, or 6 months where the overseas branch-register exception applies. Non-listed companies normally use 7 months, or 8 months with the same exception.
Is it a private company?
